Terms of Service
These Terms of Service ("Terms") govern your use of aggressive-expansion.marketing (the "Site") and any services provided by Aggressive Expansion LLC, a Florida limited liability company ("Aggressive Expansion," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.
1. Services
Aggressive Expansion provides digital marketing services, including Google Ads campaign management, paid search and shopping strategy, conversion tracking and analytics setup, AI-assisted automation, and lead generation support. The specific services, deliverables, timelines, and fees for any engagement are defined in a separate written service agreement, proposal, or statement of work ("Service Agreement") between us and the client.
Where these Terms conflict with a signed Service Agreement, the Service Agreement controls.
2. No Guarantee of Results
Advertising performance depends on factors outside our control, including your market, pricing, offer, website, competition, seasonality, and the policies and algorithms of third-party platforms. Any figures, case studies, or results shown on the Site describe past outcomes for specific clients and are not a promise, guarantee, or projection of the results you will achieve. We commit to professional effort and sound methodology, not to a particular return on ad spend, lead volume, or revenue figure.
3. Client Responsibilities
- Provide accurate, complete, and lawful information, assets, and access needed to perform the services.
- Maintain ownership of and payment responsibility for your own advertising accounts unless expressly agreed otherwise.
- Ensure that your products, services, claims, website, and landing pages comply with applicable law and with the policies of the advertising platforms used.
- Respond to requests for approval, feedback, and information within a reasonable time. Delays on your side may affect timelines and results.
4. Fees and Payment
Fees, billing frequency, and payment terms are set out in your Service Agreement. Unless stated otherwise there:
- Management fees are billed in advance for each service period and are due on receipt of invoice.
- Advertising spend is separate from our fees and is paid by you directly to the advertising platform.
- Fees for services already performed are non-refundable.
- We may suspend services on accounts that remain unpaid after written notice.
5. Term and Termination
Engagements run for the term stated in the Service Agreement. Either party may terminate as provided there, or immediately for material breach that remains uncured after written notice. On termination, you remain responsible for fees accrued through the effective termination date, and we will hand over access to accounts and assets that belong to you.
6. Third-Party Platforms
Our services depend on third-party platforms such as Google Ads and related advertising and analytics products. Your use of those platforms is governed by their own terms and policies. We are not responsible for platform outages, policy changes, account suspensions, disapprovals, pricing changes, or algorithm changes imposed by those providers.
7. Intellectual Property
The Site, including its text, design, graphics, and code, is owned by Aggressive Expansion and protected by applicable intellectual property law. You may not copy, reproduce, or republish it without our written permission.
Materials we create specifically for a client under a Service Agreement transfer to that client upon full payment, except for our pre-existing methods, templates, frameworks, and tools, which remain ours and which we may continue to use for other clients.
8. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Acceptable Use of the Site
You agree not to use the Site to transmit malware, attempt unauthorized access, scrape it in a way that burdens our infrastructure, or engage in any unlawful activity.
10. Disclaimers
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing on the Site constitutes legal, financial, tax, or investment advice.
11. Limitation of Liability
To the maximum extent permitted by law, Aggressive Expansion will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Site or our services, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to any engagement is limited to the total fees you paid us for the services in the three (3) months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be limited under applicable law.
12. Indemnification
You agree to indemnify and hold harmless Aggressive Expansion and its members, officers, and contractors from any claims, damages, and reasonable costs arising from your products or services, your advertising claims, content or assets you supply to us, or your breach of these Terms or of applicable law.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. The parties will first attempt to resolve any dispute in good faith through direct negotiation. Any dispute that cannot be resolved that way will be brought exclusively in the state or federal courts located in Lee County, Florida, and each party consents to that jurisdiction and venue.
14. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the current version. Continued use of the Site after an update constitutes acceptance of the revised Terms. Changes do not retroactively alter a signed Service Agreement.
